These Terms of Service ("Terms") govern your access to and use of the website, software, and services (collectively, the "Service") provided by Skyfire Solar Design, LLC ("Skyfire," "we," "our," or "us"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Service Description

Skyfire provides cloud-based solar design and permitting software for residential and commercial solar installers. The Service includes site survey tools, automated plan set generation, compliance checking, PE stamp coordination, and related features. The specific features available to you depend on your subscription plan.

We may modify, update, or discontinue features of the Service at any time. We will make reasonable efforts to notify you of significant changes that affect your use.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization. If you are using the Service on behalf of a company, you represent that you have the authority to bind that company to these Terms.

3. Accounts

To use certain features of the Service, you may need to create an account. You are responsible for:

  • Providing accurate and complete registration information
  • Maintaining the security of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

4. Subscriptions and Payment

The Service is offered on a subscription basis. By subscribing to a paid plan, you agree to pay the fees associated with that plan as described on our pricing page at the time of purchase.

  • Billing — subscription fees are billed in advance on a monthly or annual basis, depending on the plan you select.
  • Renewals — subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.
  • Cancellation — you may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for partial billing periods.
  • Refunds — we offer a 30-day money-back guarantee for new subscribers. If you are not satisfied within the first 30 days, contact us for a full refund.
  • Price changes — we may change subscription prices with 30 days' notice. Price changes take effect at the start of your next billing period.

5. Free Trial and Pilot Program

We may offer free trials or pilot programs at our discretion. During a trial or pilot:

  • No credit card is required unless stated otherwise
  • The trial or pilot may include limited features or usage
  • We may terminate the trial at any time
  • At the end of the trial period, you may subscribe to continue using the Service

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Interfere with or disrupt the Service or servers or networks connected to it
  • Attempt to gain unauthorized access to any part of the Service
  • Reverse engineer, decompile, or disassemble the Service
  • Use the Service to compete with Skyfire or build a competing product
  • Resell, sublicense, or redistribute the Service without our written permission
  • Upload malicious code, viruses, or any harmful data
  • Scrape, crawl, or index the Service by automated means (except as permitted by robots.txt)
  • Misrepresent your identity or affiliation with any person or organization

7. Your Data

You retain ownership of all data, designs, plans, and other content you create or upload to the Service ("Your Data"). By using the Service, you grant us a limited license to host, process, and display Your Data solely as necessary to provide the Service to you.

  • Data portability — you may export Your Data at any time through the Service's export features.
  • Data deletion — if you terminate your account, we will delete Your Data within 90 days, unless we are required by law to retain it.
  • Data security — we implement commercially reasonable security measures to protect Your Data. See our Privacy Policy for details.

You are solely responsible for the accuracy and legality of Your Data. We are not responsible for reviewing, approving, or verifying the accuracy of any solar designs, plan sets, or engineering calculations generated through the Service.

8. Intellectual Property

The Service, including its software, design, text, graphics, logos, and all other content (excluding Your Data), is owned by Skyfire and protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms and your subscription plan. This license does not include the right to:

  • Modify or create derivative works based on the Service
  • Use Skyfire's trademarks, logos, or branding without written permission
  • Copy, reproduce, or distribute the Service beyond your authorized use

9. PE Stamps and Professional Engineering

Skyfire facilitates coordination with licensed Professional Engineers (PEs) for plan set stamping. Important disclaimers:

  • PE stamps are provided by independent, licensed engineers — not by Skyfire directly. Skyfire acts as a coordination platform.
  • The PE who stamps a plan set bears professional responsibility for that stamp in accordance with their state licensing requirements.
  • Skyfire does not guarantee PE stamp turnaround times, though we make reasonable efforts to meet stated estimates.
  • You are responsible for verifying that final plan sets meet your jurisdiction's current requirements before submission.

10. Compliance and AHJ Information

The Service includes an AHJ (Authority Having Jurisdiction) database and compliance checking features. While we make every reasonable effort to keep this information accurate and current:

  • AHJ requirements change frequently. Skyfire's database may not always reflect the most recent changes.
  • You are ultimately responsible for verifying permit requirements with your local AHJ before submitting permit applications.
  • Skyfire does not guarantee permit approval. Approval decisions are made solely by the relevant AHJ.

11. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • Skyfire does not warrant that the Service will be uninterrupted, error-free, or completely secure.
  • In no event shall Skyfire be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of the Service.
  • Skyfire's total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid to Skyfire in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Skyfire, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Any content or data you submit to the Service
  • Any solar design, plan set, or installation based on output from the Service

13. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we determine violates these Terms, is harmful to other users or us, or for any other reason at our sole discretion.

Upon termination:

  • Your right to access and use the Service will immediately cease
  • We will retain Your Data for 90 days to allow you to request an export
  • After 90 days, Your Data will be permanently deleted
  • Provisions of these Terms that by their nature should survive termination will survive, including intellectual property, limitation of liability, and indemnification

14. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions. Any legal action or proceeding arising from these Terms shall be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to the jurisdiction of such courts.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and may notify you by email or through the Service. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription.

16. General Provisions

  • Entire agreement — these Terms, together with our Privacy Policy, constitute the entire agreement between you and Skyfire regarding the Service.
  • Severability — if any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.
  • Waiver — our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
  • Assignment — you may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
